Job Description:
Primary Purpose: The Associate General Counsel advises
operational leaders on complex contract negotiations, risk
management, and dispute resolution, ensuring the organization's
interests are protected.Principal Duties and Accountabilities:
- Serves as the primary legal advisor to both the executive team
and operational leaders throughout the organization, providing
expert guidance on diverse legal matters.
- Proactively identifies legal challenges and develops innovative
solutions to mitigate associated risks.
- Collaborates with the executive team and Board of Directors to
prepare and refine corporate policies, bylaws, and
resolutions.
- Ensures the organization operates within all relevant legal and
regulatory standards, promoting best practices in governance.
- Drafts, reviews, and negotiates contracts, agreements, and
legal documents to secure favorable terms and minimize risks.
- Resolves contract disputes efficiently while ensuring
compliance with legal standards.
- Oversees all litigation involving U.S. Engineering companies,
including working with external counsel to develop effective
dispute resolution strategies.
- Provides strategic advice on complex legal matters, supporting
litigation strategy and settlements as needed.
- Mentors and develops the legal/risk team, fostering a
collaborative and high-performing environment.
- Manages the legal department budget effectively, aligning
resources with strategic needs.Job Scope: The Associate General
Counsel collaborates cross-functionally with executives and
stakeholders to align legal strategy with business priorities,
while safeguarding the organization's interests in a dynamic legal
and regulatory environment.Education & Experience:
- Juris Doctor (JD) degree from an accredited law school.
- Active license to practice law in at least one jurisdiction,
required.
- Minimum of 5 years of experience in the legal field, with a
focus on general commercial law or litigation.
- Proven experience in legal counsel or a similar role, managing
teams of legal professionals.
- Demonstrated ability to lead and mentor a team, fostering
collaboration and professional growth.
- Strong interpersonal skills to build trust-based relationships
with internal and external stakeholders.Knowledge, skills, and
abilities:
- Deep knowledge of laws and regulations specific to the
construction industry, including contract management, permitting,
and environmental compliance.
- Understanding of corporate governance principles, including
Board of Directors protocols and organizational compliance
frameworks.
- Familiarity with federal laws (e.g., OSHA, FMLA) and state
regulations relevant to multi-jurisdictional operations.
- Expertise in identifying, assessing, and mitigating legal risks
in operational and financial contexts.
- Proficiency in alternative dispute resolution techniques to
minimize litigation costs.
- Advanced skills in drafting, reviewing, and editing complex
legal documents with high attention to detail.
- Strong analytical skills to interpret legal statutes and their
implications for the organization.
- Ability to explain complex legal matters clearly to non-legal
stakeholders, including executives and board members.
- Skilled in making sound judgments quickly under pressure,
balancing risk and opportunity.Physical and/or travel demands:
- Frequent sitting, use of keyboard/monitor, use of 10-key and
use of telephone.
- Travel to regional offices and/or project sites may be
required.Benefits and Compensation:
- The range for this position has been established at $153,000.00
to $216,000.00 per year and is U.S. Engineering's good faith and
reasonable estimate at the time of the posting. The compensation
offered to the finalist selected for this role will be set based on
a variety of factors, including but not limited to, internal
equity, experience, education, specialty, and training.
- Your total compensation will go beyond the number on your
paycheck. Team members are eligible for a year-end bonus based on
company and/or individual performance as well as paid time off. An
